Hello. The difference is that with WiFi only, you can only access the internet while you are at home or at a place that offers WiFi. With the Cellular version, your iPad becomes more like your phone and allows you to connect to cellular data (at a monthly charge, depending on your carrier). When your iPad is connected to data, you can access the internet wherever you go. If you plan on using your iPad a lot away from home, I would recommend the cellular version.
