• The phone comes loaded with Kitkat 4.4.4 out of the box which I think is the latest version out there. Android L is not yet out, but Samsung says it will roll out the update to Note 4 when it becomes available.

• Because Android 5.0 Lollipop is now available and Samsung has commited to making the Note 4 one of the first phones it pushes the updated OS to. It didn't make business sense to invest development time into an older OS. Android 4.4 is what was available at the point in time in the device development cycle when the OS was tested so that is what came stock.
