Yes, when the Pencil is attached to the iPad, it will charge. The flap used to secure the cover closed accommodates closing with or without the Pencil. I believe the 'holder' referred to is simply the flap closing over the Pencil. If the case is on but the cover open, the Pencil is just attached to the iPad like it would be without a case
