“With WiFi” means that it has the capability to connect to wifi. If you want to do anything internet-based, you must connect to wifi—that is the only way those functions will work. But if you’re doing something that does not require internet, like writing a note, using your calendar or reading a book just to name some examples, you don’t need WiFi. The reason they make the specification is because the other model also comes with “Cellular Data”. In other words, it has the capability to be set up with a wireless plan from a provider like AT&T for example. Then, you could do anything internet based no matter where you are without needing a WiFi connection, just like your cellphone.
