As long as you have a motherboard with enough power phasing directly from the pci-e slot (as there are no 6-pin or 8-pin connectors), then yes. Even though this card is pci-e 3.0, all pci-e protocol is backwards compatible. I wouldn't recommend overclocking unless you are confident in - again - the power phasing of the mobo. For example, I am running a LGA 1366 ASUS Rampage III Formula, so I have no issues with running/OC'ing the card.
