Intel® Core™ Desktop processors (12th gen) use the LGA1700 socket and require motherboards based on Intel® 700 Series Desktop Chipsets and Intel® 600 Series Desktop Chipsets. Intel® 600 Series and Intel® 700 Series require a BIOS update when upgrading from Intel® Core™ Desktop Processors 12th or 13th to a 14th gen.

The i7-12700k uses a LGA1700 socket so you won't be able to put it in your ASRock B365M motherboard. The newest processor's you'll be able to put in that motherboard would be the Intel Core 9th generation processors (ex: i7-9700k)

No, both processors support different sockets, the Intel® Core™ i5-9400F supports the LGA1151 socket while the Intel® Core™ i7-12700K the LGA1700. All Intel® Desktop Processors that have the letters K, KF, KS, XE, or X in their number are not shipped with Intel® Thermal Solution (fan heatsink). A thermal solution (CPU cooler) and a thermal interface material for the processor are needed.
