• Functionally probably no difference. If It was to guess, it's a revision where Seagate made minor changes to the model that don't warrant a new one. It's also possible that one is an OEM part and the other is a retail part.

• They are both not worth the money. Buy another brand, Problems from day one, WONT FORMAT CORRECTLY, SPLIT INTO SEVERAL DIFFERENT SIZES ON ONE HARD DRIVE.
