how do you download it to a 3dsxl null

I wasn't able to since this game is for the NEW 3DS. A 3DS XL is considered an "original" versus "new" console so this game will not work for it. I have confirmed this information with Nintendo support.

After you receive the download code. On your 3DS (1) Go to eShop (2). Go to Settings / Other (3).Select Redeem Download Code, (4) Enter code.
