• It means the phone is locked and can only be used with an ATT sim card. Unlocked means it can be used with any carriers sim card.

• That means that the phone is exclusive locked to AT&T. It doesn't mean that you are locked into a contract. Unlocked phones have different phone carriers, for instance, GSM or CMDA ( research that, not sure if the spelling is correct).
