If you want to buy it directly from at&t, you have to go to their website and pre-order, like you would at best buy. Then you'll enter your purchase information, get your credit checked, and maybe pay a down payment on it, depending on your credit. Then, on the 21st, when the phone is released, your card is going to be charged the cost of the phone, plus taxes and shipping. And as for your other phone, if it is in good condition, you can sell it on something like ebay.

If you just want to buy it outright, it's up to you what you choose to do with your old phone. You can either keep it as a backup, or sell it yourself. I'm not sure if AT&T is offering some kind of trade in deal, but I wouldn't advise you to do that until the phone is actually available.
