Aside from the obvious extra focal length - 300mm compared to 200mm - the incorporation of VR gives the 70-300 a huge advantage over the non-VR 55-200. VR stands for Vibration Reduction. It is Nikon's version of image stabilization. This will help prevent camera shake, most evident when shooting at longer focal length, therefore getting you sharper pictures.
