I'm not sure that it shuts off but there are 4 levels of control all of which are great and so based on your environment you can adjust accordingly. When I'm on the train (nyc) which are very loud, i lower the ambient feature and the noise becomes like a loud whisper never loosing music sound, volume or quality. Hope this helps.
