Q: Is this an up grade or is it a install for say a new custom built computer?
A: Either. If an upgrade, make sure you backup you existing system.
Q: Can this be used to upgrade our Windows 7 without losing our files and programs?
A: Yes. It worked for me. It was fairly simple, but it takes a while. Also, Windows will ask you to reenter your product license for Office the first time you open it, so you might want to have that handy. You can just log in to your microsoft account for newer versions. I don't think I had any other issues.
